These Terms & Conditions ("T&C") govern your access to and use of the website operated by Souveira Ventures ("Souveira Ventures", "Company", "we", "us", "our") and any related services we provide through the website (collectively, the "Site").
By accessing, browsing or using the Site, you ("User", "you", "your") agree to be legally bound by these T&C, all applicable laws and regulations. If you disagree with any part of these T&C, you must immediately cease all access and use of the Site.
We reserve the right to amend, modify or update these T&C at any time and without prior notice. The updated T&C will be posted on the Site. Your continued use of the Site or Service after any such changes constitutes your acceptance of the revised T&C.
The Company offers a business-to-business ("B2B") communication solution via the WhatsApp for Business Platform (the "Service"), designed for enterprises and conducted in accordance with the guidelines and policies of Meta (formerly Facebook) and other applicable platform providers.
The Site also includes, but is not limited to, the following functionalities ("Features"):
These T&C apply to all Users, including those who simply browse the Site and those who register for or engage with the Service or any of the Features.
By using the Site or Service, you represent that you are at least 18 years of age and are legally capable of entering into a binding contract.
If you are using the Site or Service on behalf of a business entity, you represent and warrant that you have the full legal authority to bind that entity to these T&C.
You agree to provide true, current and complete information during any registration process. You are solely responsible for maintaining the confidentiality of your account details and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.
You agree to use the Site and Service only for lawful purposes and in compliance with these T&C, as well as all applicable local, state, national and international laws, rules and regulations.
You shall not, directly or indirectly:
We reserve the right to suspend or terminate your access to the Site or Service, in whole or in part, without notice, if we reasonably believe you have violated any provision of these T&C.
In the event you engage the Service, you agree to pay all applicable fees and charges as communicated to you.
You acknowledge that we partner with third-party payment providers (e.g., PhonePe) to process payments. Payment processing is governed solely by the terms and conditions and privacy policies of the respective payment processor.
While we will exert reasonable efforts to ensure secure processing, we do not guarantee the uninterrupted availability, error-free operation or security of the third-party payment gateway. We are not liable for any losses or damages arising from the use of the payment gateway.
All payments are final unless expressly stated otherwise in a separate written agreement or in our specific refund policy (if applicable).
The Site may contain links to or feature referrals for third-party websites, services or offers (Affiliate Promotions). These third parties are not under the control of Souveira Ventures. Accessing any third-party link is done at your own risk.
You acknowledge that we may earn affiliate, referral or commission fees from third-party companies when you engage with them via the links or promotions on our Site. We endeavour to clearly disclose such relationships where required by law or industry standards.
We do not endorse, warrant or guarantee the services, products or offerings of any third-party affiliate company and make no representations regarding their quality or suitability.
All content on the Site, including text, graphics, logos, images, software and the compilation thereof ("Company Content"), is the property of Souveira Ventures or its licensors and is protected by applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site and Company Content strictly for your internal business or personal use in compliance with these T&C.
You shall not reproduce, modify, distribute, display, perform, publish, licence or create derivative works from any Company Content without our express prior written consent.
THE SITE, THE SERVICE and ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS or NON-INFRINGEMENT.
We do not warrant that the Site or Service will be uninterrupted, error-free, secure or free from viruses or other harmful components. You assume all risks associated with the use of the Site.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOUVEIRA VENTURES (INCLUDING ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS or LICENSORS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE or EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF DATA or BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total cumulative liability for any and all claims arising out of or related to these T&C or your use of the Site or Service will not exceed the greater of: (i) the amount paid by you to Souveira Ventures for the Service in the twelve (12) months preceding the claim or (ii) One Thousand Indian Rupees (₹1,000).
You agree to indemnify, defend and hold harmless Souveira Ventures, its affiliates and their respective officers, directors, employees, agents and licensors from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these T&C; (b) your misuse of the Site or Service; or (c) your violation of any applicable law or the rights of any third party.
These T&C shall be governed by and construed in accordance with the laws of India, specifically including the Information Technology Act, 2000 and other applicable statutes, without regard to its conflict of law principles.
Subject to the arbitration clause below, you agree to submit to the exclusive jurisdiction of the courts located in Goa, India, for the resolution of any legal matter arising from these T&C.
Any dispute, controversy or claim arising out of or relating to these T&C or the breach, termination or invalidity thereof, shall be first referred to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be finally settled by binding arbitration in Goa, India, in accordance with applicable arbitration rules. The language of the arbitration shall be English.
These T&C constitute the entire agreement between you and Souveira Ventures concerning the subject matter hereof and supersede all prior or contemporaneous communications, proposals and agreements, whether oral, written or electronic.
If any provision of these T&C is held to be invalid or unenforceable, that provision shall be severed from these T&C and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these T&C will not be considered a waiver of those rights.
